2026 Uber x Toast Offer Special Terms

These terms and conditions govern the below limited-time joint offer made by Uber Technologies, Inc. and Portier, LLC (together, “Uber”) and Toast, Inc. (“Toast”) to New Joint Customers. “New Joint Customers” are  eligible SMBs (defined below) that (i) do not currently utilize products and services provided by Toast or by  Uber, (ii) are referred by (x) Toast to Uber or (y) Uber to Toast, and (iii) execute both (x)certain terms and conditions with Toast for access to it’s products and services (a “Toast Merchant Agreement”) and (y) certain terms and conditions with Uber for access to Uber Eats   (“Uber Eats Agreement”).

Upon satisfaction of such obligations, each New Joint Customer will receive the following, subject to the terms and conditions set forth herein as well as in both Toast Merchant Agreement and the Uber Eats Agreement:

(1) A one-time discount of up to $4,000.00 on Toast hardware (“Hardware”) provided that New Joint Toast Customer purchases a minimum of $4,000 worth of Hardware.

(2) A one-time software promotion for twelve (12) months free of one of three available Digital Storefront tiers (Essentials, Pro or Premium), along with twelve (12) months free of the Toast Uber Eats Integration (applies only to the monthly subscription fee). Other fees, including but not limited to Uber delivery charges, still apply.

3) A one-time $500 statement credit, applied towards a New Uber Customer’s monthly Toast invoice, following completion of at least five (5) orders fulfilled via Toast Delivery Services (with Uber Direct selected as the delivery provider) within six (6) months of the date that a New Customer signs a Merchant Agreement with Toast..

(4) $5,000.00 in credits toward sponsored listings and merchant-funded offers to Uber Eats customers (applied as a percentage off fees or charges due to Uber, only upon redemption by customer).

(5) waived Uber marketplace fee for sales of items on Uber Eats for one (1) month after signing up for Uber Eats as a New Joint Customer (after 1 months, the marketplace fee will increase to the then-current rate charged by Uber, which as of the date of this promo is 25% of total order value).

Promotions are limited to one per New Joint Customer per location. Must meet all eligibility and performance requirements to receive promotion. Promotions cannot be redeemed for cash or applied to software (excluding the specified promotions), implementation, shipping, or any other fees not explicitly set forth above. If a New Joint Customer redeems one of the promotions herein on a software subscription or implementation service, such New Joint Customer will not be eligible for any other promotions on the specific software subscription or implementation service (but may be eligible for promotions on other software or implementation services not specifically mentioned herein). All credits will be applied after the costs are incurred by the New Joint Customer.  Each of Uber and Toast reserves the right to suspend, modify, or cancel any promotion provided by such respective party at any time, without notice, and will determine eligibility at its sole discretion. “SMB” shall mean a merchant customer with fewer than fifteen (15) restaurant locations and that signs up for Toast through Toast’s small and midsize business channels. Toast shall determine whether a merchant customer is considered an SMB in its sole discretion. Separate terms, conditions and agreements apply with respect to the specific Toast and Uber products and services.

(4) waived Uber marketplace fee for sales of items on Uber Eats for one (1) month after signing up for Uber Eats as a New Uber Customer (after 1 months, the marketplace fee will increase to the then-current rate charged by Uber, which as of the date of this promo is 25% of total order value).
