Toast Lab Application Terms and Conditions

By submitting an application to Toast Lab, you ("Applicant") acknowledge and agree to the following terms and conditions ("Terms"). These Terms govern your submission of an application ("Application") and your participation in the application process. Please read these Terms carefully before submitting your Application.

Applications will be evaluated by Toast in its sole and absolute discretion. Toast reserves the right to accept or reject any Application for any reason or no reason, at any time, without obligation to provide explanation. Toast is under no obligation to select any Applicant and may modify, suspend, or terminate Toast Lab at any time without liability.

Submission of an Application, participation in any follow-up communications, and any indication of interest by Toast do not constitute: (a) an offer or binding commitment to provide funding, technology, or services; (b) a partnership, joint venture, agency, or employment relationship; or (c) a guarantee of any financial or business arrangement. Any descriptions of financial backing, capital commitments, or support in any frequently asked questions, marketing materials, or other communications relating to Toast Lab (collectively, "Program Materials") are illustrative only and do not constitute a commitment by Toast. Any future collaboration will be subject to separate definitive agreements.

Applicant grants Toast a non-exclusive, perpetual, irrevocable, royalty-free, fully sublicensable, worldwide license to use, reproduce, modify, and create derivative works from materials submitted as part of the Application ("Submission Materials") for any business purpose. Toast may independently develop concepts similar to those in Applicant's Submission Materials, and nothing herein restricts Toast's right to do so. Applicant represents that it has the right to submit all materials included in the Application. Applicant should not include any information it considers trade secret or proprietary unless willing to do so subject to these Terms.

Toast will collect, store, and process information provided in the Application in accordance with Toast's Privacy Statement. By submitting an Application, Applicant consents to Toast's use of such information for evaluating the Application and administering Toast Lab.
