$10K Sign On Bonus Offer Special Terms

Merchant may be eligible to receive the One-Time Payment as described below if: (i) it is a new Toast, Inc. (“Toast”) SMB merchant customer in the United States, (ii) signs the applicable Order Form with an Initial Term of at least twenty four (24) months, by October 31, 2026; (iii) Merchant's first or only Eligible Location achieves its Go-Live Date on or before December 31, 2026; and (iv) purchased a minimum recurring Software-as-a-Service (SaaS) monthly subscription total of at least seven hundred fifty dollars ($750) per each Merchant Location after any discounting. Toast shall determine whether a merchant customer is eligible for the One-Time Payment in its sole discretion. Toast will determine Merchant's eligibility for the One Time Payment, in its sole discretion, at the time of request as described below.
“SMB” shall mean a merchant customer with less than fifteen (15) restaurant locations and that signs up for Toast through Toast’s small and midsize business channels.
Merchant may request a one-time payment of ten thousand U.S. dollars ($10,000 USD) from Toast (the "One-Time Payment") by sending a request to toastpayments@toasttab.com within one (1) month of Merchant’s Go-Live Date. This One-Time Payment will be paid in the form of an ACH transfer to Merchant’s designated Bank Account within thirty (30) business days following Toast’s receipt of Merchant’s request as stated herein. This One-Time Payment shall not apply if Merchant is in breach of the Merchant Agreement, and cannot be used for any unethical purposes or to violate any applicable laws.
For purposes of this One-Time Payment, "Go-Live Date" shall mean the date on which one of Merchant’s Eligible Locations (as will be set forth in such Merchant’s Order Form) is first activated and processing customer transactions at any location under the Merchant Agreement, regardless of the number of Locations or Order Forms Merchant has with Toast. For the avoidance of doubt, if Merchant's Go-Live Date does not occur on or before December 31, 2026, Merchant shall not be eligible for the One-Time Payment, regardless of when Merchant signed the applicable Order Form. Notwithstanding anything to the contrary in this paragraph or in any other Order Form entered into between Merchant and Toast, Merchant is entitled to receive the One-Time Payment only once in the aggregate, regardless of the number of Locations Merchant activates with Toast or the number of Order Forms (whether now or hereafter executed) containing this or substantially similar language. If Merchant has already received the One-Time Payment under this paragraph or a substantially similar provision in any other Order Form, Merchant shall not be entitled to receive an additional One-Time Payment under any other Order Form.
Merchant acknowledges and agrees that the payment offered under this paragraph is in consideration of Merchant's commitment to maintain services for the full Initial Term of the Order Form under which the One-Time Payment is actually paid. In the event that Merchant terminates services under such Order Form or the Merchant Agreement prior to the expiration of that Initial Term for any reason other than for Toast's uncured material breach, Merchant shall repay to Toast the full amount of any payment it received under this paragraph (“Recoupment Amount”). This Recoupment Amount shall be in addition to, and not in lieu of, any early termination fees or other amounts owed by Merchant pursuant to the Merchant Agreement. Toast may, at its option, (a) invoice Merchant for the Recoupment Amount, which shall be due and payable within thirty (30) days of the date of such invoice, or (b) charge the Recoupment Amount to Merchant's designated payment method on file.
This is a limited time promotion subject to change, and Toast reserves the right to suspend, modify, or cancel this promotion at any time. The One-Time Payment may only be received once per eligible merchant customer, in the aggregate across all Locations and Order Forms, as further described above.
