Referral Terms and Conditions (UK)

Effective for Qualified Referrals submitted on or after July 1, 2024.

These Terms and Conditions (the “Terms”) apply to the Toast International Referral Program (the “Program”) in the Territory.The Program is administered by Toast Canada, Inc. (in Canada), Toasttatb Ireland Limited (in Ireland) and Toasttab UK Limited (in the United Kingdom). These entities are collectively referred to as Toast herein.

Territory means either Canada, Ireland or United Kingdom.

Toast offers you the opportunity to participate in its Program. By participating in the Program per the terms below, you: (i) agree to be bound by these Terms and Toast’s Privacy Statement located at https://pos.toasttab.com/privacy ; (ii) understand and agree that you are responsible for ensuring that the Referrer has expressed an interest in learning more about Toast and has agreed that their contact details can be provided to Toast for the purpose of being contacted by a Toast representative in relation to Toast products and services; and (iii) confirm that any such contact details (related to the Referrer), including but not limited to personal information, are business contact details and relate to and are connected to the the business that you refer to Toast. Toast reserves the right to amend or terminate the Program at any time, for any reason.

Program Eligibility

Who is Eligible to Participate?

Active employees of an existing Toast POS services customer, Toast employees, consultants, investors, and friends of these individuals, who refer a restaurant located in their country of residence (must be located in either United Kingdom, Canada or Ireland) to Toast for point of sale and payment processing services (“POS services”) through the online referral form or in writing, including by email, to a Toast Account Executive.

Who is Not Eligible to Participate?

Employees of Toast technical integration and strategic partners with existing referral programs, including immediate family and household members;
Toast employees within the sales organization, including immediate family and household members;
Employees of an authorized Toast reseller, including immediate family and household members;
Restaurant owners, operators, or decision-makers responsible for making the POS purchasing decision referring their own restaurants;
Franchisors responsible for making the POS purchasing decision referring their own franchisees;
Active employees of an existing Toast POS services customer, Toast employees, consultants, investors, and friends of these individuals who are located in the United States. Please refer to the Toast United States Referral Program for more information.
Individuals who are under 18 years old.

Referral Requirements

Subject to these Terms, for each Qualified Referral submitted by Referrer, Referrer will receive one Bonus Payout described below. A “Qualified Referral*” is a restaurant that:

is referred to Toast by Referrer either through the online referral form, or in writing, including by email to a Toast Account Executive;
is located in the Referrer` country of residence (must be located in either United Kingdom, Canada or Ireland);
is not an existing lead in the Toast system; and
enters into a Merchant Agreement Initial Order Form with Toast for POS services, and has been live, processing transactions on the Toast platform for at least seven days.

*Verbal referrals will not be accepted. A restaurant group or corporate entity owned by a franchise group that owns another restaurant or corporate entity that has already been a Qualified Referral or an existing Toast customer will not be considered a Qualified Referral. Toast reserves the right, in its sole discretion, to determine the original lead source. Exceptions may be made, in Toast’s sole discretion, if the referral has not been contacted by Toast for at least six (6) months. Toast reserves the right to and will determine, in its sole discretion, whether a restaurant is a Qualified Referral.

Bonus Payouts

Referrers may be eligible to receive a bonus payout for a Qualified Referral as set forth herein (the ”Bonus Payout”). Bonus Payouts will be made to all Referrers monthly.

If Referrer is an employee of Toast the Bonus Payout will be made via Bonusly. For all other Referrers, Bonus Payouts will be made in the form of a gift card or virtual credit card issued by a third party issuer(s)* (as selected by Toast from time to time in its sole discretion).

*Redemption of the prepaid gift card or virtual credit card (as applicable) may be subject to additional terms, conditions, and restrictions of such third party issuer(s). Referrer shall be responsible for contacting the third party issuer(s) directly for any questions or issues with the redemption or use of the gift card or virtual card (as applicable). Toast is not responsible if the gift card or the virtual card (as applicable) is lost, stolen, destroyed or used without permission. If the gift card or the virtual card (as applicable) is lost or stolen, it will not be replaced. Toast is not affiliated with the third party issuer(s) and the third party issuer(s) has no involvement in the design, production, execution, or distribution of the Program and the Bonus Payouts.

Bonus Payout is structured as follows (subject to the Restaurant Group terms** set out below):

£500 for each Qualified Referral located in the UK;
€500 for each Qualified Referral located in Ireland; and
CA$750 for each Qualified Referral located in Canada.

**The Bonus Payout for a Restaurant Group will be structured as follows, subject to the cap set forth herein. A Restaurant Group is defined as either a franchise group or corporate entity and its affiliates.

For the first location in a Restaurant Group, that is a Qualified Referral, the Referrer may be eligible to receive the full Bonus Payout as set forth above (based on the country where the Qualified Referral is located);
For the second through to the tenth locations in a Restaurant Group, that are Qualified Referrals, the Referrer may be eligible to receive a Bonus Payout per location of: (i) £250 if the Qualified Referral is located in the UK; €250 if the Qualified Referral is located in Ireland; and CA$375 if the Qualified Referral is located in Canada;
No Bonus Payouts apply for the eleventh location and onwards in a Restaurant Group;
For illustrative purposes only, if a Referrer submits Qualified Referrals for eleven locations in a Restaurant Group, the total Bonus Payout amount would be calculated and capped as follows:
- £2,750 (if Qualified Referrals are located in the UK) calculated as follows: (a) first location £500 plus (b) second through the tenth locations, £250 each (total £2,250); no Bonus Payout for the eleventh location in a Restaurant Group
- €2,750 (if Qualified Referrals are located in the Ireland) calculated as follows: (a) first location €500 plus (b) second through the tenth locations, €250 each (total €2,250); no Bonus Payout for the eleventh location in a Restaurant Group;
- CA$4,125 (if Qualified Referrals are located in the Canada) calculated as follows: (a) first location CA$750 plus (b) second through the tenth locations, CA$ 375 each (CA$ 3,375); no Bonus Payout for the eleventh location in a Restaurant Group.

Limited Time Offer: Supplemental Bonus Payout for a Restaurant Group` Qualified Referrals locations (subject to the limitations and cap set forth above)

For each Qualified Referral location in a Restaurant Group (as defined above) submitted between May 1, 2025 and May 31, 2025, active employees of existing Toast POS services customers may be eligible for a supplemental Bonus Payout of: (a) £500 if the Qualified Referral is located in the UK, (b) €500 if the Qualified Referral is located in Ireland or (c) CA$750 if the Qualified Referral is located in Canada, the “Supplemental Bonus Payout”. Such Supplemental Bonus Payout is in addition to the Bonus Payout as set forth above for each Qualified Referral location in a Restaurant Group. To qualify for such Supplemental Bonus Payment, each Qualified Referral must enter into a Merchant Agreement Initial Order Form with Toast for POS services, and go live, processing transactions on the Toast platform for at least seven days on or before Aug 30, 2025.

General Terms

Toast will determine, in its sole discretion, whether a referral is a Qualified Referral eligible for a Bonus Payout and Toast reserves the right to disqualify any Referrer at any time from participation in the Program for any reason including but not limited to Toast’s good faith belief that Referrer has violated these Terms. Subject to the Terms herein, there is no limit to the number of referrals a Referrer can submit, or eligible Bonus Payouts a Referrer may receive (except in the case of the limits applicable to the Bonus Payouts for a Restaurant Group as set forth above), while the Program is in effect. Referrer shall be solely responsible for any tax reporting and/or payment obligations in respect to any Bonus Payout received under the Program.

You expressly understand and agree that the Program is provided on an "as is" and "as available" basis and Toast expressly disclaims all warranties, conditions and terms (collectively, "Promises") of any kind, whether express or implied by statute, common law or custom, including, but not limited to, warranties as to products or services offered through the use of the Program, implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, and non-infringement.

To the fullest extent possible by law, Toast (including its parent, subsidiaries, affiliates and any vendors and service providers) maximum liability arising out of or in connection with the Program, regardless of the cause of action (whether in contract, tort, breach of warranty, or otherwise), shall not exceed USD 100.

Modifications

Toast reserves the right to modify these Terms or terminate the Program at any time, in its sole discretion, without notice.
