Toast Customer Facing T&Cs
These terms and conditions govern the below limited-time joint offer made by Uber Technologies, Inc. and Portier, LLC (together, “Uber”) and Toast, Inc. (“Toast”) to eligible SMBs (defined below) that currently utilize products and services provided by Toast and that do not currently utilize products and services provided by Uber, that are referred by Toast to Uber, and that execute further terms and conditions for merchant access to Uber Eats on or before June 13, 2025 (“New Uber Customers”).
Upon satisfaction of such obligations, each New Uber Customer will receive the following, subject to the terms and conditions set forth herein:
(1) A one-time software promotion including three (3) months of free Digital Storefront Pro (applies only to the monthly subscription fee).
(2) A one-time $500 statement credit, applied towards a New Uber Customer’s monthly Toast invoice, following completion of at least five (5) orders fulfilled via Toast Delivery Services (with Uber Direct selected as the delivery provider) within three (3) months of initial activation of Uber Direct via Toast Delivery Services. (3) Twelve (12) months free of Toast’s Uber Eats 3rd Party Delivery integration (applies only to monthly software subscription and integration fees). Other fees, including but not limited to Uber delivery charges, still apply.
(4) $3,000.00 in credits toward sponsored listings and merchant-funded offers to Uber Eats customers (applied as a percentage off fees or charges due to Uber, only upon redemption by customer).
(5) a 20% marketplace fee percentage for all sales of items on Uber Eats for 6 months after signing up for Uber Eats (after 6 months, the marketplace fee will increase to 25%).
Promotions are limited to one per New Uber Customer. Must meet all eligibility and performance requirements to receive promotion. Promotions cannot be redeemed for cash or applied to software (excluding the specified promotions), implementation, shipping, or any other fees not explicitly set forth above. If a New Uber Customer redeems one of the promotions herein on a software subscription or implementation service, such New Uber Customer will not be eligible for any other promotions on the specific software subscription or implementation service (but may be eligible for promotions on other software or implementation services not specifically mentioned herein). Each of Uber and Toast reserves the right to suspend, modify, or cancel any promotion provided by such respective party at any time, without notice, and will determine eligibility at its sole discretion. “SMB” shall mean a merchant customer with fewer than fifteen (15) restaurant locations and that signs up for Toast through Toast’s small and midsize business channels. Toast shall determine whether a merchant customer is considered an SMB in its sole discretion. Separate terms, conditions and agreements apply with respect to the specific Toast and Uber products and services.
Uber Customer Facing T&Cs
These terms and conditions govern the below limited-time joint offer made by Toast, Inc. (“Toast”) and Uber Technologies, Inc. and Portier, LLC (together, “Uber”) to eligible SMBs (defined below) that currently utilize products and services provided by Uber and that do not currently utilize products and services provided by Toast, that are referred by Uber to Toast, and that execute a Toast Merchant Agreement Initial Order Form on or before June 13, 2025 (“New Toast Customers”).
Upon satisfaction of such obligations, each New Toast Customer will receive the following, subject to the terms and conditions set forth herein:
(1) A one-time discount of up to $4,000.00 on Toast hardware (“Hardware”), provided that New Toast Customer purchases a minimum of $4,000 worth of Hardware.
(2) A one-time software promotion including twelve (12) months of free Digital Storefront Pro (applies only to the monthly subscription fee), including one (1) free hour of Guest Solutions Onboarding Specialist Consultation (with additional hours available for $125.00 per hour).
(3) a one-time $500 statement credit, applied towards a New Uber Customer’s monthly Toast invoice, following completion of at least five (5) orders fulfilled via Toast Delivery Services (with Uber Direct selected as the delivery provider) within twelve (12) months of initial activation of Uber Direct via Toast Delivery Services. To receive such credit, New Toast Customers must complete the requisite number of orders required by the promotion to be eligible for the credit and have the Toast Delivery Services Integration enabled and Uber selected as the delivery provider prior to the payout of the credit.
(4) Twelve (12) months free of Toast’s Uber Eats 3rd Party Delivery integration (applies only to monthly software subscription and integration fees). Other fees, including but not limited to Uber delivery charges, still apply.
(5) $1,500.00 in credits toward sponsored listings and merchant-funded offers to Uber Eats customers (applied as a percentage off fees or charges due to Uber, only upon redemption by customer).
Promotions are limited to one per New Toast Customer. Must meet all eligibility and performance requirements to receive promotion. Promotions cannot be redeemed for cash or applied to software (excluding the specified promotions), implementation, shipping, or any other fees not explicitly set forth above. If a New Toast Customer redeems the promotion on Toast Hardware herein, such New Toast Customer will not be eligible for any other promotions for Hardware. If a New Toast Customer redeems one of the promotions herein on a software subscription or implementation service, such New Toast Customer will not be eligible for any other promotions on the specific software subscription or implementation service (but may be eligible for promotions on other software or implementation services not specifically mentioned herein). New Toast Customers must purchase at least $4,000 in Hardware at the list price to qualify for the $4,000.00 Hardware promotion. Each of Uber and Toast reserves the right to suspend, modify, or cancel any promotion provided by such respective party at any time, without notice, and will determine eligibility at its sole discretion. “SMB” shall mean a merchant customer with fewer than fifteen (15) restaurant locations and that signs up for Toast through Toast’s small and midsize business channels.
