OPEN ONLY TO LEGAL RESIDENTS OF MASSACHUSETTS.

The Toast Cash Sweepstakes Promotion (“Promotion”) is sponsored by Toast, Inc. located at 333 Summer Street, Boston, Massachusetts, 02210 (“Sponsor” or “Toast”).

1. PROMOTION PERIOD: The Promotion begins on December 18, 2024, at 8:00:00am Central Time (“CT”) and ends on December 25, 2024, at 10:59:59pm CT (“Promotion Period”). The Sponsor’s computer is the Promotion’s official clock.

2. ELIGIBILITY: You must be a legal resident, 18 years of age or older, of Massachusetts to be eligible to participate in the Promotion and receive a Prize. The Promotion is void where prohibited and shall be restricted by all applicable federal, state and local laws and regulations that may apply. Employees of Sponsor, or their household members are not eligible.

Attempting to enter or participating in the Promotion constitutes participant’s full and unconditional agreement to these Official Rules and Sponsor’s decisions, which are final and binding in all matters related to the Promotion. Winning a prize is contingent upon fulfilling all requirements set forth herein. Participants and/or potential winners may be required to provide proof of identification and eligibility as required by Sponsor.

3. HOW TO PARTICIPATE: During the Promotion Period, any eligible participant who purchases Gifted Toast Cash at www.toastcash.com by 10:59:59pm (CT) on December 25, 2024, will receive an entry to win one of three $500 promotional Toast Cash gift cards. Alternatively eligible participants can email toastcashprize@toasttab.com to request a free entry into the Promotion once per day. The first one hundred (100) eligible entrants will also receive $10 in Promotional Toast Cash.

4. WHAT IS GIFTED TOAST CASH: Gifted Toast Cash is similar to Promotional Toast Cash in that it can only be redeemed at certain Toast Merchants in Boston, Massachusetts, and the surrounding metropolitan area. Promotional Toast Cash can be used with vendors in the fifty (50) states of the United States and the District of Columbia who use the Toast Platform. Not all restaurants accept Toast Cash.

5. PRIZES, ODDS OF WINNING, AND APPROXIMATE RETAIL VALUE (“ARV”):

A. Grand Prizes: Three (3) $500 Promotional Toast Cash codes will be awarded during the Promotion Period.

B. Additional Prizes: One hundred (100) $10 Promotional Toast Cash codes will be awarded to the first one hundred eligible entrants.

C. Total ARV: The combined total ARV of all available prizes in the Promotion is $2,500.00.

D. Odds of Winning Grand Prize/Limit: The odds of winning a Prize depend on the total number of eligible participants during the Promotion Period.

E. Prize Details and Restrictions: Redemption or use of the Prize is subject to the terms, conditions, and restrictions of the issuer or program manager then in effect. If the Prize is lost, stolen or used without authorization, it will not be replaced. The right to receive a prize is non-assignable, non-transferable and no prize substitution, exchange or cash equivalent will be allowed, except by Sponsor, who reserves the right to substitute a prize of equal or greater value in case of unavailability of a prize or force majeure, at Sponsor’s sole and absolute discretion. Promotion Entities shall not be held responsible for any delays in awarding the prize for any reason.

F. General: In no event will more prizes be awarded than are stated in these Official Rules. In the event that, due to technical, typographical, mechanical or other errors, there are more winners than are stated in these Official Rules, a random drawing among the claimants will be held to determine the potential winners. If for any reason, including but not limited to an administrative, printing, production, computer or other error or due to technical difficulties or incorrect announcements of any kind, more winning messages are distributed, or more prizes are claimed than are intended to be awarded according to these Official Rules, the intended number of prizes will be awarded in a random drawing from among all verified prize claims received for that prize. If, after a good-faith attempt, Sponsor is unable to award or deliver a prize, the prize may not be re-awarded.

If, for any reason, the Promotion is not capable of running as planned, Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify or suspend the Promotion and/or proceed with the Promotion, including the selection of winners in a manner it deems fair and reasonable (including the selection of winners from among eligible participants prior to such cancellation, termination, modification or suspension).

6. HOW TO CLAIM A PRIZE: Toast will notify winners within 30 days of the end of the Promotion Period (the Fulfillment Date) by sending an email with a prize code to the email address provided in connection with your entry via a Gifted Toast Cash purchase or your request for an alternative method of entry. Each winner shall be solely responsible for payment of any and all applicable federal, state, and local taxes for the prize won. All other costs and expenses not expressly set forth herein shall solely be each winner’s responsibility. The prizes will only be awarded to verified Winners. Prizes that are unclaimed, unredeemed, or returned as undeliverable will not be awarded.

7. LIMITATION OF LIABILITY: By participating in the Promotion, you agree to release and hold harmless Sponsor and its parent, subsidiaries, affiliates; and each of their respective officers, directors, employees, and agents (the “Released Parties”) from and against any claim or cause of action arising out of participation in the Promotion or receipt or use of a prize, including, but not limited to: (a) unauthorized human intervention in the Promotion; (b) technical errors related to computers, servers, providers, or telephone, or network lines; (c) any other technical, mechanical, printing, or typographical or other error; (d) lost, late, postage-due, misdirected, or undeliverable mail; (e) errors in the administration of the Promotion or the processing of entries; or (f) injury or damage to persons or property. Participants further agree that in any cause of action, the Released Parties’ liability will be limited to the cost of entering and participating in the Promotion and in no event shall the Released Parties be liable for attorney’s fees. Participants waive the right to claim any damages whatsoever, including, but not limited to, punitive, exemplary, special, incidental, consequential, or indirect damages.

WITHOUT LIMITING THE FOREGOING, EVERYTHING REGARDING THIS PROMOTION IS PROVIDED “AS IS” WITHOUT WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. SOME JURISDICTIONS MAY NOT ALLOW THE LIMITATIONS OR EXCLUSIONS OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES OR EXCLUSIONS OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE LIMITATIONS OR EXCLUSIONS MAY NOT APPLY.

8. DISPUTES: THIS PROMOTION IS GOVERNED BY, AND WILL BE CONSTRUED IN ACCORDANCE WITH, THE LAWS OF THE STATE OF MASSACHUSETTS, AND THE FORUM AND VENUE FOR ANY DISPUTE SHALL BE IN BOSTON, MASSACHUSETTS. PARTICIPANTS AGREE THAT THE RIGHTS AND OBLIGATIONS OF ANY PARTICIPANT AND/OR PROMOTION ENTITIES AND/OR ANY OTHER PARTY SHALL BE RESOLVED INDIVIDUALLY, WITHOUT RESORT TO ANY FORM OF CLASS ACTION.

9. PRIVACY: Any information participants provide or submit as part of the Promotion will be used for purposes of this Promotion and for the Sponsor’s general business purposes in accordance with Sponsor’s Privacy Statement which can be found here: https://pos.toasttab.com/privacy. By entering the Promotion, you agree to the use of your personal information as described in Sponsor’s Privacy Statement, above, and as otherwise set forth in these Official Rules.

10. PUBLICITY RIGHTS: By participating in the Promotion and/or accepting a prize, each entrant agrees to allow Sponsor and/or Sponsor's designee the perpetual right to use his or her name, biographical information, photos and/or likeness, and statements for promotion, trade, commercial, advertising and publicity purposes, at any time or times, in all media now known or hereafter discovered including live television, worldwide, including but not limited to on the World Wide Web and Internet, without notice, review or approval and without additional compensation except where prohibited by law.

11. GENERAL: Any attempted form of participation in this Promotion other than as described herein is void. In the event that the operation, security, or administration of the Promotion is impaired in any way, Sponsor may, in its sole discretion, either: (a) suspend the Promotion to address the impairment and then resume the Promotion in a manner that best conforms to these Official Rules; or (b) select from the eligible entries up to the time of the impairment. Sponsor reserves the right in its sole discretion to disqualify any participant who tampers with the operation of the Promotion, violates these Official Rules, attempts to undermine or corrupt the legitimate operation of the Promotion, or acts in an unsportsmanlike or disruptive manner. Sponsor reserves the right to seek damages from any person or entity that seeks to undermine the legitimate operation of the Promotion. Failure by Sponsor to enforce any term of these Official Rules shall not constitute a waiver of such term or any other term set forth in these Official Rules. The invalidity or unenforceability of any provision of these Official Rules shall not affect the validity or enforceability of any other provision. In the event any provision is determined to be invalid or otherwise unenforceable or illegal, these Official Rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. In the event there is a discrepancy or inconsistency between disclosures or other statements contained in any Promotion-related materials or notifications and the terms and conditions of these Official Rules, these Official Rules shall prevail, govern and control.
